PRESENTATION OF THE 2024 SUBSIDIARIES’ INDIVIDUAL FINANCIAL STATEMENTS Separate/individual financial statements of CFM Indosuez Gestion CFM Indosuez Gestion's net income amounted to €15.6 million as at 31 December 2024, virtually unchanged compared with 2023. Revenue increased by €0.2 million and expenses in 2024 were €0.3 million higher than in 2023. On 27 February 2025, the Board of CFM Indosuez Gestion will propose to the General Meeting of shareholders of the management company scheduled for 29 April 2025 to distribute 100% of its net income for the 2024 financial year. The impact of this dividend payment from the subsidiary to its parent company will be reflected in CFM Indosuez Wealth’s financial statements for 2025. Separate financial statements of CFM Indosuez Conseil en Investissement Net profit for 2024 for CFM Indosuez Conseil en Investissement was €0.3m, stable compared with 2023. NBI is down 3% on 2023 (or €0.09 million). Expenses in 2024 will be slightly lower than in 2023, mainly at the Noumea branch. The sole shareholder of CFM Indosuez Conseil en investissement SASU will propose to allocate the positive result of the year to retained earnings. ALLOCATION OF PROFITS (RESOLUTIONS NO. 3 AND NO. 5) At its meeting on 13 March 2025, the Board of Directors will recommend to the Annual General Meeting of 14 May that the profit for the year be allocated as follows: Profits for the financial year 2024 € 60,454,741 Retained earnings from the previous year € 227,117,506 Proposed dividend amount €44,694,000 Retained earnings following distribution of dividends €242,878,247 In view of the above, the Board of Directors proposes to the General Meeting of Shareholders to be held on 13 May 2025, to distribute a dividend of 74% of the 2024 result, i.e. €78.00 per share. The Board of Directors proposes that the General Meeting carry forward the difference of €15.8 million. The dividend will be paid from 20 May 2025. (Resolution no. 3) Finally, the Board of Directors wishes to conserve the possibility of paying an interim dividend before the end of the financial year on the basis of a balance sheet duly certified by the Company’s Statutory Auditors. (Resolution no. 5) COMPOSITION OF THE BOARD OF DIRECTORS (RESOLUTIONS 6 TO 10) The Board meetings of 1 October 2024 and 13 March 2025 proposed the appointment of two new members: Véronique Faujour and Robert Calcagno, and to reappoint Pascal Brouard for a one-year term. The appointment of Véronique Faujour for a term of 3 years is proposed for ratification at the next Annual General Meeting. (Resolution no. 6) The appointment of Pascal Brouard for a one-year term is proposed for ratification at the next Annual General Meeting. (Resolution no. 7) The appointment of Robert Calcagno for a term of one year is proposed for ratification at the next Annual General Meeting.(1) (Resolution no. 8) The directorships of Meriem Echcherfi, Bastien Charpentier and Benoît Fayol expire at the Annual General Meeting of 13 May 2025. At its meeting on 13 March 2025, the Board of Directors proposed that Meriem Echcherfi and Benoît Fayol be re-appointed for a term of 3 years, until the Annual General Meeting to be held in 2028 to approve the financial statements for the year ending 31 December 2027. (Resolutions nos. 9 and 10) APPROVAL OF REGULATED AGREEMENTS - ARTICLE 23 (RESOLUTION NO. 11) Transactions handled by directors or companies affiliated with CFM Indosuez Wealth In accordance with the provisions of Article 24 of law no. 408 of 20 January 1945, we hereby report on transactions covered in Article 23 of the Sovereign Ordinance of 5 March 1895 conducted between CFM Indosuez Wealth and another Group entity or director in 2024, and report on agreements previously authorised in principle that were signed in the company’s interest during 2024, as well as on past agreements and commitments consisting in term loans to financial institutions within Crédit Agricole SA Group: - CFM Indosuez Wealth continued to provide operational support to CFM Indosuez Gestion and CFM Indosuez Conseil en Investissements SASU. - CFM Indosuez Wealth used the services of insurance broker Jutheau Husson for the management of some its insurance policies.
